Skillshare Live Sessions Terms and Conditions for Participants

Skillshare (as defined in our Terms of Service, collectively, “Skillshare,” “we,” “us,” or “our”) works with teachers, creators, experts, and others (a “Host” or “Hosts”) to facilitate the ability of these Hosts to engage directly with participants (a “Participant” or “Participants”) in real-time via a time-limited video conference session (a “Live Session”). By signing up for and/or participating in a Live Session, you agree to the terms and conditions that follow (the “Live Session Terms”), as well as our Terms of Service and Privacy Policy. Do not sign up for or participate in a Live Session if you do not agree with any of these terms.

Skillshare and Host Roles and Responsibilities

Skillshare is not the creator, organizer, or owner of any Live Session hosted via, facilitated via, or linked from the Skillshare platform. Instead, we provide Hosts with access to Skillshare users and others so Hosts can offer Live Sessions to these individuals. When hosting a Live Session, the Host is solely responsible for ensuring that the Live Session and any page displaying or advertising a Live Session complies with any applicable laws, rules, and regulations, and that the goods and services described on any such page are delivered as described and in an accurate, satisfactory manner.

Payment and License

The contract for the purchase of a ticket to a Live Session (a “Ticket”) is formed when Skillshare sends you a confirmation email stating that your purchase has been accepted by Skillshare. We will send that confirmation email to the email address associated with your Skillshare account, or if you do not have a Skillshare account, or if you use a different email address to purchase a Ticket, we will send the confirmation email to that email address.

By purchasing a Ticket and providing us, or a third-party partner acting on our behalf, with your payment method at checkout, you authorize Skillshare (acting by its payment processor) and/or our partners to charge that payment method to take payment for your order. We are not responsible for any losses you may suffer if the payment method you use to pay for a Ticket does not have sufficient funds to cover all costs of that order.

Live Sessions may take place in different countries, and Tickets may be sold in either U.S. dollars (USD) or your native currency. You will be responsible for any additional charges to which you may be subject by your credit or debit card provider or bank, or any currency exchange rate fluctuations and Skillshare does not accept liability for these.

By paying for a Live Session, you are granted a personal revocable license which may be withdrawn, and admission refused, at any time, subject to these Live Session Terms or our Terms of Service. Before you sign up for a Live Session, Skillshare or the Host will generally inform you of any restrictions which apply to entry. Skillshare will not be responsible for the consequences of any failure by you to abide by such information provided pre-purchase. You may also be ejected from a Live Session at any time if Skillshare employees or a Host or those working on their behalf determine that you are acting in contravention of the law, are a safety or security risk, may affect the enjoyment of others at the Live Session, or may cause damage, nuisance, or injury.

Refunds

Skillshare is not obligated to offer refunds sought less than 48 hours before your scheduled Live Session. To seek a refund more than 48 hours before your scheduled Live Session, you must log in to Eventbrite and click on “Tickets.” Find the order you wish to have refunded and select “Request a Refund.” More information on how to seek a refund can be found on the Eventbrite Help Center. Should your Live Session be canceled ahead of time, you will be entitled to a full refund of the price you paid.

Video Conference Service and Recording

Participants will participate in the Live Session through the use of a video conferencing service. This software may be provided by a third-party such as Zoom. By participating in the Live Session, you will be subject to the terms of service for the video conferencing service used, such as the Zoom Terms of Service. These terms may change without notice to Skillshare or you. You are advised to review such terms from time to time for any updates or changes that may impact you.

Live Sessions may be recorded and the recording may be shared with the Participants who attended the Live Session, or may be used by the Host or Skillshare for other purposes. These purposes may include, without limitation, the Host posting the recording of the Live Session (or portions thereof) as a permanent class on the Skillshare platform or elsewhere, as well as the Host or Skillshare sharing portions of the recording via social media platforms. If you do not wish for your image to be captured on these recordings, you should either turn off your camera during the Live Session or not attend.

By using a microphone and/or leaving your camera on during a Live Session, you agree that doing so constitutes a release and waiver of rights in the capture of your image, likeness, and/or voice for the exclusive use by Skillshare or the Host.

Participants are not permitted to record Live Sessions without express permission from the Host and Skillshare. You agree that any Live Session recordings or photos taken by Participants are to be used solely for personal purposes and that Participants may not save, record, share, publish, or post a recording of the Live Session or any photos from the Live Session without prior permission from Skillshare and the Host–whether it is a recording or photograph made or taken by you or by a Host.

Release

You hereby agree to release Skillshare from all damages (whether direct, indirect, incidental, consequential, or otherwise), losses, liabilities, costs, and expenses of every kind and nature, known and unknown, arising out of a dispute between you and a third party (including Hosts or other Participants) in connection with any Live Session.

In addition, you waive any applicable law or statue which says, in substance, “A general release does not extend to claims which the releasing party does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the released party.”

Indemnification

You agree to defend, indemnify, and hold harmless Skillshare from any and all damage (whether direct, indirect, incidental, consequential, or otherwise), loss, liability, cost, and expense (including reasonable attorneys' and accounting fees) resulting from any claim, demand, suit, proceeding (whether before an arbitrator, court, mediator, or otherwise), or investigation made by any third party (each a "Claim") relating to or arising out of:

  • your breach of these Live Session Terms (including any terms or agreements or policies incorporated into these Live Sessions Terms);
  • your unauthorized use of the Live Session or the Services (as defined in our Terms of Service);
  • any feedback that you give or receive;
  • your breach of any applicable local, state, provincial, national, or other law, rule, or regulation, or the rights of any third party;
  • our collection and remission of taxes, if any.

We will provide notice to you of any such Claim, but our failure or delay in providing such notice will not limit your indemnification obligations except to the extent you are materially prejudiced by such failure. Also, in certain circumstances, we may choose to handle the Claim ourselves, in which case you agree to cooperate with us in any way we request.

Disclaimer of Warranties and Assumption of Risks by You

To the extent allowed under applicable laws, Live Sessions are provided on an "as is" and "as available" basis. Skillshare expressly disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, title, non-infringement, and fitness for a particular purpose. For example, we make no warranty that:

  • the Live Session (or any portion thereof) will meet your requirements or expectations;
  • the Live Session will be uninterrupted, timely, secure, or error-free; or
  • the results that may be obtained from your participation in a Live Session, if any, will be accurate, reliable, beneficial, or worthwhile.

We have no control over and do not guarantee the (i) quality, safety, success, accuracy, or legality of any Live Session or any content associated with a Live Session, (ii) accuracy of any information provided during or about a Live Session, or (iii) ability of any Host to complete a transaction.

We are not liable for the acts or omissions of any third parties, including Hosts or other third parties that help us provide the Services, that a Host chooses to assist with an event, or that you choose to use or contract with when signing up for or participating in a Live Session.

Some Live Sessions may carry inherent risk and by participating in a Live Session, you choose to assume those risks voluntarily. For example, some Live Sessions may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those events.

The disclaimers in these Live Terms apply to the maximum extent permitted by law. If any warranties are required by applicable law, they will be limited to the shortest duration allowed.

Privacy

Information that you provide or that we or our partners collect in connection with any Live Session is subject to our Privacy Policy as well as the Zoom Privacy Statement.

Export Controls and Restricted Countries

You represent and warrant that:

  • You are not located in, and you are not a national or resident of any U.S. embargoed countries (including Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions, and Russia); and
  • You are not a person or entity, or owned by, under the control of, or affiliated with a person or entity that: (a) is included in the U.S. Treasury Department’s list of Specially Designated Nationals or any other applicable restricted party lists; (b) is subject to sanctions in any other country; or (c) is engaged in the design, development, or production of nuclear, biological, or chemical weapons, missiles, or unmanned aerial vehicles.
